Our platform, Demiurg, offers a conversation-driven interface for building, testing, and deploying AI Agents quickly. We emphasize that it can be a powerful tool; therefore, we also commit (and expect users to commit to) the safe and ethical use of our Services to ensure that the platform is utilized for the collective good and not for unethical or harmful purposes.

License to use our Services

Under these Terms, we provide you with a limited, personal, non-exclusive, and non-transferable license to utilize our Services. This license permits both personal and commercial usage, contingent upon the limitations of your subscription plan and these Terms.

Intellectual property rights

Demiurg retains all rights, title, and interest in and to the following:

Brand elements

  • The "Demiurg" name and associated branding
  • The "demiurg.ai" domain and any related or derivative domains
  • All Demiurg logos, designs, and branding assets
  • Any marketing materials or content on our website

Platform elements

  • The overall site design and structure
  • All features and functionalities of our platform
  • Our proprietary systems and algorithms
  • User interfaces and user experience layouts
  • All documentation and supporting materials

Website content

  • Text, graphics, and media displayed on demiurg.ai
  • Blog posts, documentation, and how-to guides
  • Marketing and promotional materials
  • Interface components and overall design elements

All of the above elements are safeguarded by various intellectual property laws, including copyright, trademarks, patents, and other applicable protections.

Clear distinction of rights

For clarity, although Demiurg retains ownership of the platform and all associated brand elements listed above, such ownership does not extend to:

  • User-generated content
  • Code produced via our platform
  • Agents you develop using our tools
  • Custom adaptations or configurations derived from generated code
  • Modified or derivative works created by you from code generated on our platform
  • Any code changes or commits made outside of Demiurg, even if committed or visible in some manner

User rights

Demiurg does not claim any ownership over:

  • All code generated with our Services
  • Agents built through our platform
  • Modifications and implementations you create
  • Derivative works that evolve from generated code
  • Your custom business logic and application architecture

Usage rights

You are free to:

  • Utilize generated code in commercial products
  • Change, extend, or alter any generated code
  • Share or distribute generated code however you see fit
  • Monetize Agents built using Demiurg
  • Make your projects open source if you choose

To reiterate:

  • We place no restrictions on how you use code generated by Demiurg
  • You can use, edit, and share generated code without any attribution requirements
  • You owe no fees or royalties to Demiurg for using the generated code
  • You retain full control over any implementations and modifications
  • You may integrate generated code with other sources without seeking approval from Demiurg

Data usage, training, and learning

We gather and process data generated by your activities on our platform for several purposes: improving Demiurg, providing customer support, and enhancing user experiences. The details of our data collection and processing are outlined in our Privacy Policy, but the following points summarize our in-service use of that data.

Service improvement and training

Your activity on our platform helps us refine our AI capabilities. We analyze prompts, generated code, and user interactions to continually enhance the accuracy and reliability of code outputs. This includes:

  • Training and fine-tuning our AI models to better understand developer needs
  • Using pattern analysis to boost the quality of generated code
  • Optimizing our platform's performance based on real usage patterns
  • Identifying and resolving technical bugs through systematic reviews
  • Creating new platform features that align with user behavior

Support and operational uses

We employ the data we collect to deliver effective customer support and maintain smooth platform operations. Examples include:

Enterprise plan considerations

Customers with Enterprise plans gain additional control and protection over their data. Specifically:

  • We do not utilize their data for model training
  • We can offer individualized data handling contracts
  • We do not share or disclose data to outside parties without explicit permission

Our policies for retaining and managing data include:

  • Storing data only as long as needed for the purposes stated here
  • Allowing you to request data deletion within the limits of our retention policies and technical constraints
  • Retaining certain data to meet legal or compliance obligations

  • It is your responsibility to protect your account credentials
  • Account deletion currently requires contacting our support team
  • We reserve the right to deactivate accounts that breach these Terms

Messaging environment

We provide an integrated messaging environment within our platform that enables you to:

  1. Interact with your own AI Agents,
  2. Communicate with other publicly deployed agents, and
  3. Engage in discussions or collaborations with other users and creators on the platform.

All activity within this messaging environment is subject to these Terms, and you agree to use it in a responsible and lawful manner.

User content

You may upload various types of content, which could include:

  • Code
  • Images
  • Videos

You represent that:

  • You hold the necessary rights and permissions to upload the content
  • Your content does not breach any laws or infringe upon any third-party rights
  • You alone are responsible for any content you upload and how it is used

Services and pricing

Plans and limits

  • Paid plans: Detailed at our pricing page
  • We reserve the right to modify plans or pricing at any time

Support services

  • Offered exclusively to Enterprise
  • Can be reached via support@demiurg.ai
  • Restricted to platform-related issues, excluding application debugging
  • Subject to available capacity and resources

Subscription / Payment terms

  • Our Services use a monthly subscription model with recurring billing
  • Subscriptions automatically renew at the conclusion of each billing cycle
  • No annual billing options are offered at this time

Fulfillment and Service Policies

Service Delivery

  • Once payment is confirmed, platform access is granted promptly
  • Login credentials will be emailed to you
  • If you experience any access issues, please contact our support team

Refund Policy

  • All payments are non-refundable, unless otherwise determined by us
  • Any granted refunds will be issued to the original payment method
  • Refunds may be considered if:
    • There is a billing mistake
    • There are duplicate charges
    • There exist other circumstances at our discretion

Cancellation Policy

How to Cancel

You may end your subscription at any point by:

  • Going to your Profile
  • Selecting Plans & Billing
  • Choosing Manage Subscription
  • Clicking Cancel

Cancellation Terms

  • Your plan stays active until the conclusion of the current billing period
  • You retain full access until that period ends
  • Your subscription will not renew automatically after cancellation
  • Any unused credits are forfeited when the subscription ends
  • No prorated refunds for unused subscription time

Digital Service Notice

  • As this is a digital platform giving access to AI software engineering tools, standard return policies do not apply
  • Unless specified elsewhere in these Terms, all sales are final

DMCA compliance

We respect and adhere to the Digital Millennium Copyright Act (DMCA). If you have any concerns related to DMCA, send a notice to our support team with:

  • A description of the copyrighted work alleged to be infringed
  • Identification of the possibly infringing material
  • Your contact details
  • A statement affirming your good faith belief in the infringement claim
  • A declaration of accuracy under penalty of perjury

Prohibited uses

By agreeing to these Terms, you explicitly agree not to:

  • Reverse engineer any part of our Services
  • Employ unauthorized automated tools or bots
  • Attempt to gain unauthorized access to restricted areas of our Services
  • Utilize our Services for any illegal or unlawful activities
  • Make multiple free accounts to evade usage limits
  • Use our Services in a manner that may harm other users
  • Upload malicious code or offensive content
  • Aim to overload or disrupt our systems

Demiurg must never be employed to create solutions that are subject to sanctions or export restrictions, or otherwise in noncompliance with laws in any jurisdictions where Demiurg or its users operate. Similarly, Demiurg must not be used in, or by persons or entities located in, regions subject to sanctions or export restrictions.

Promotions and feedback

Promotions

We may periodically run promotions, contests, or sweepstakes, each potentially subject to separate terms.

User feedback

  • We appreciate suggestions and input from users
  • We may implement user feedback without offering compensation
  • By providing feedback, you grant us an unrestricted, worldwide license to use it
  • No credit or financial remuneration is owed for ideas we adopt

Disclaimer of warranties

YOUR ACCESS AND USE OF THE SITE, SERVICES, AND ALL DEMIURG CONTENT IS AT YOUR OWN RISK. THE PLATFORM, SERVICES, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT GUARANTEES OF ANY KIND. TO THE FULLEST EXTENT ALLOWABLE BY LAW, DEMIURG AND ITS SUPPLIERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPLICIT OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY, RELIABILITY, OR UTILITY OF THE PLATFORM, SERVICES, OR ANY CONTENT, AND YOUR USE OF THEM REMAINS SOLELY AT YOUR DISCRETION AND RISK. ANY CODE OR MATERIALS YOU OBTAIN THROUGH OUR PLATFORM OR SERVICES ARE DOWNLOADED AT YOUR DISCRETION AND RISK, AND YOU ARE EXCLUSIVELY RESPONSIBLE FOR ANY RESULTING DAMAGE TO YOUR COMPUTER SYSTEM OR DATA. NO ORAL OR WRITTEN GUIDANCE OR INFORMATION PROVIDED BY US OR THROUGH OUR PLATFORM OR SERVICES SHALL CREATE ANY WARRANTY THAT IS NOT EXPRESSLY OUTLINED HERE. UNDER NO CIRCUMSTANCE SHALL DEMIURG, ITS AFFILIATES, AGENTS, EMPLOYEES, OFFICERS, SUPPLIERS, OR LICENSORS BE HELD LIABLE FOR ANY FORM OF DAMAGES, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY—INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLES—EVEN IF ADVISED OF SUCH POTENTIAL DAMAGES, RESULTING FROM YOUR USE OR INABILITY TO USE THE PLATFORM, SERVICES, OR DEMIURG CONTENT. WE ARE NOT LIABLE FOR UNAUTHORIZED ACCESS, SECURITY BREACHES, OR DISRUPTIONS OF OUR PLATFORM, SERVICES, OR YOUR ACCOUNT.

TO THE GREATEST EXTENT ALLOWED BY APPLICABLE LAW, DEMIURG ASSUMES NO LIABILITY OR RESPONSIBILITY FOR:

  • Errors or inaccuracies found in any content
  • Personal injuries or property damage linked to your use of our platform or services
  • Unauthorized intrusion into our servers or your personal information
  • Service outages, interruptions, or transmission failures
  • Malicious software that might be transmitted via our platform
  • Any losses or damages stemming from the use of our content or services

Issues specifically related to AI-generated code, including but not limited to:

  • Coding mistakes, bugs, or security flaws
  • Code that does not meet your operational requirements
  • Code that fails to meet your business or technical goals
  • Obsolescence or incompatibility with other systems
  • Software integration complications
  • Data corruption or loss

Limitations or failures inherent to AI systems, such as:

  • Producing inaccurate or incomplete code
  • Misinterpreting your requirements or prompts
  • Suboptimal or inefficient solutions
  • Inconsistent quality of generated code
  • Failure to follow best practices or coding standards

Platform-level issues such as:

  • Temporary or permanent downtime
  • Sluggish response times or reduced performance
  • Lost projects or conversation logs
  • User interface quirks or bugs
  • API malfunctions or inconsistencies
  • Authentication or authorization challenges

Consequences for your business flowing from:

  • Relying on generated code in live or production settings
  • Time spent altering or refining the generated code
  • Project timeline setbacks or missed deadlines
  • Additional development costs or technical obligations
  • Issues blending code with existing systems
  • Dissatisfaction from end-users or clients

Third-party conflicts including:

  • Incompatibility with external services
  • Potential licensing complications within generated code
  • Security issues in recommended libraries or dependencies
  • Changes in external APIs
  • Clashes with other development tools

Data-related implications:

  • Loss of prompt history or generated code
  • Accidental exposure of sensitive data in generated code
  • Biases carried within training data that affect output
  • Inadequate or incorrect handling of personal data
  • Issues with data compliance or privacy

Issues arising in the messaging platform:

  • Illegal, inaccurate, offensive, unsolicited, indecent or otherwise objectionable communications to-and-from other users

THIS IS NOT AN EXHAUSTIVE LIST. DEMIURG'S LIABILITY LIMITATIONS COVER ALL POSSIBLE OUTCOMES—WHETHER OR NOT MENTIONED HERE—ARISING FROM THE USE OF OUR AI-BASED PLATFORM OR SERVICES.

IN ANY EVENT, THE TOTAL LIABILITY OF DEMIURG AND OUR SUPPLIERS OR LICENSORS FOR ALL CLAIMS RELATED TO YOUR USE OF OUR PLATFORM, SERVICES, AND DEMIURG CONTENT (INCLUDING WARRANTY CLAIMS), REGARDLESS OF LEGAL THEORY, SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IF YOU RESIDE IN CALIFORNIA, YOU WAIVE THE APPLICATION OF CALIFORNIA CIVIL CODE §1542. SOME JURISDICTIONS MAY NOT ALLOW CERTAIN LIABILITY LIMITATIONS, WHICH MEANS SOME OR ALL OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to defend, indemnify, and hold harmless Demiurg, along with its officers, directors, employees, agents, affiliates, and licensors, from and against any and all claims, liabilities, damages, costs, judgments, awards, losses, or expenses (including reasonable legal fees) that arise from or relate to:

  • Your use or misuse of our platform and Services
  • Any breach of these Terms by you
  • Violations of any third-party rights
  • Agents you develop using our platform
  • Content you share or publish via our Services

Legal notices and governing law

Our platform and Services are operated from our offices in Delaware, United States. We make no guarantee as to the suitability or availability of the platform or Services outside the United States. If you choose to access our Site from outside the United States, you do so at your own initiative and are responsible for adhering to all local laws, including import/export regulations. Access from locations under U.S. embargo or by individuals on restricted party lists is strictly prohibited.

These Terms are governed by the laws of Delaware, excluding conflict-of-law principles. Any disputes arising from or related to these Terms or your use of our platform must be litigated exclusively in Delaware courts, and you consent to the personal jurisdiction of these courts. Our failure to enforce any right or provision of these Terms does not constitute a waiver unless formally acknowledged in writing. Should any provision of these Terms be found unenforceable, the remaining provisions will stay in effect.
